EULA

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) ("User" or "You") and Axiox Media Technology Limited ("Company," "We," "Our," or "Us") regarding your use of the XINKER platform, including any associated media, websites, updates, and online or electronic documentation (collectively, the "Service").

1. Acceptance of Terms

By accessing or using the Service, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not access or use the Service.

2. License Grant

Axiox Media Technology Limited grants You a revocable, non-exclusive, non-transferable, limited license to access and use the Service in accordance with this EULA.

• Comply with all applicable local, national, and international laws and regulations.
• Not modify, disassemble, decompile, or reverse-engineer the Service.

• Maintain the confidentiality of any login information associated with Your use of the Service.

4. Intellectual Property

All content, design elements, and other intellectual property related to the Service are the property of Axiox Media Technology Limited or its licensors. This EULA does not grant You any ownership rights to the Service or any of its components.

5. Payment Terms

Certain features of the Service may be available only through a subscription or one-time payment. By subscribing to or purchasing these services, You agree to Our payment terms, including applicable fees and charges.

6. Termination

We reserve the right to suspend or terminate Your access to the Service at any time, without notice, for conduct that We believe violates this EULA or is otherwise harmful to other users of the Service, Us, or third parties, or for any other reason at Our sole discretion.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Axiox Media Technology Limited disclaims all warranties, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet Your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Axiox Media Technology Limited be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) Your access to or use of or inability to access or use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Service by any third party; or (iv) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of Your use of any content posted, emailed, transmitted, or otherwise made available via the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not We have been informed of the possibility of such damage.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within XINKER to resolve any dispute or claim arising from this EULA.

10. Changes to this EULA

We reserve the right, at Our sole discretion, to modify or replace this EULA at any time. If a revision is material, We will provide at least [30 days'] notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use the Service after those changes become effective, You agree to be bound by the revised EULA. If You do not agree to the new terms, You must stop using the Service.
